Terms of Use

1. Acceptance of terms

By accessing or using the GloCoach website or platform ("Services"), you agree to these Terms of Use and to our Privacy Policy and Cookie Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

2. Permitted use

Subject to these terms and any applicable engagement contract, GloCoach grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. Access to the platform beyond the public website is governed by the terms of your organization's engagement contract, which prevails in the event of conflict on commercial matters.

3. Intellectual property

The allocation of ownership is deliberate and central to how the platform works:

• GloCoach owns the platform. The Services, software, GloCoach Leadership Model, methodologies, content, trademarks, and all related intellectual property are and remain the property of GloCoach and its licensors.
• GloCoach owns the residual behavioral data and derived models. Aggregated, de-identified behavioral data and the models, frameworks, and intelligence derived from it are GloCoach's intellectual property.
• The customer owns its PII. Personally identifiable information about a client's participants belongs to the client, handled under the engagement contract and the Privacy Policy.

4. Acceptable use

You agree not to, and not to permit others to:

• Use the Services in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except as permitted by law.
• Access, probe, or test the Services in a way that compromises security, integrity, or availability.
• Upload malicious code, or use the Services to store or transmit unlawful or infringing material.
• Resell, sublicense, or make the Services available to third parties except as expressly authorized.
• Misuse behavioral or assessment outputs to make adverse decisions without the human review the platform requires.

5. Disclaimers

The Services are provided "as is" and "as available." GloCoach's outputs are decision-support intelligence intended to augment, not replace, human judgment; they do not constitute legal, employment, or professional advice. To the maximum extent permitted by law, GloCoach disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. GloCoach does not warrant that the Services will be uninterrupted or error-free.

6. Limitation of liability

To the maximum extent permitted by law, GloCoach and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Where liability cannot be excluded, GloCoach's total aggregate liability is limited to the amounts specified in the applicable engagement contract or, absent such a contract, to the amount paid by you to GloCoach in the twelve months preceding the claim. Nothing in these terms limits liability that cannot be limited by law.

7. Governing law

These terms, and any dispute arising from them or the Services, are governed by [Governing law: to be confirmed], without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction, subject to any mandatory consumer or local-law protections that apply to you.

8. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the "Last updated" line above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised terms.
